1. Agreement to Terms
These Terms of Service (“Terms”) form a binding agreement between you and Senza Agency, LLC (“Recimate”, “we”, “us”, “our”), a Delaware limited liability company, regarding your use of the Recimate mobile application and any related services (collectively, the “Service”).
By creating an account, downloading the app, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
These Terms incorporate by reference our Privacy Policy, Subscription Terms, AI Content Disclaimer, and End User License Agreement (EULA).
2. Eligibility
You must be at least 16 years old to use Recimate. By using the Service, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
The Service is currently available in the United States, Canada, Latin America, the European Economic Area, the United Kingdom, Switzerland, Australia, New Zealand, and parts of Asia. Availability may change at any time. For users in the EU/EEA, the UK, and Switzerland, our Data Protection Representative and Digital Services Act Legal Representative details are set out in the Privacy Policy and Section 20 of these Terms.
3. Your Account
- One person, one account. Do not share your credentials.
- You are responsible for all activity that occurs under your account.
- Keep your credentials secure and notify us at support@recimate.app if you suspect unauthorized access.
- We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the Service or other users.
4. Subscriptions and Billing
Recimate offers a free tier and paid Premium subscriptions. Pricing, free-trial mechanics, auto-renewal disclosures, cancellation, and refund handling are governed by the separate Subscription Terms document, which forms part of these Terms.
5. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the app, except to the extent that such activity is expressly permitted by law.
- Use bots, scrapers, automated scripts, or any non-public API to access the Service.
- Bypass, disable, or interfere with rate limits, quotas, subscription gating, security mechanisms, or content moderation systems.
- Resell, sublicense, rent, lease, or commercialize the Service or any AI-generated output without our written permission.
- Use the Service to generate or distribute content that is illegal, infringing, defamatory, threatening, harassing, hateful, sexually explicit, violent, or otherwise objectionable.
- Use AI-generated outputs as the basis for medical, nutritional, allergen, religious-dietary, or other high-stakes decisions (see the AI Content Disclaimer).
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Submit recipes or other content that infringes intellectual-property or other rights of any third party.
- Probe, scan, or test the vulnerability of the Service, except through a documented security disclosure to support@recimate.app.
- Transmit malware, worms, or similar harmful code.
- Use the Service in violation of applicable export controls or sanctions.
We may, but are not obligated to, monitor activity and remove or restrict access to content or accounts that violate these Terms.
6. User Content (Public Recipes)
6.1 Your content
“User Content” means any recipes, photos, text, or other material you submit, generate, publish, or otherwise make available through the Service, including recipes you mark as public or share via link.
6.2 License grant to us
You retain ownership of your User Content. By submitting User Content you grant Senza Agency, LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, modify, adapt, publish, translate, distribute, publicly display, and make derivative works of your User Content solely for the purpose of operating, providing, improving, and promoting the Service. This license terminates when you delete the User Content from the Service, except to the extent retention is required by law or by reasonable backup processes.
6.3 Your representations
You represent and warrant that:
- You own or have all necessary rights, licenses, and permissions to grant the license above.
- Your User Content does not infringe any third-party intellectual property, privacy, publicity, or other right.
- Your User Content does not violate these Terms or applicable law.
6.4 Our moderation rights
We may, at our sole discretion and without prior notice, remove, edit, restrict access to, or refuse to publish any User Content that we believe violates these Terms or that we reasonably believe poses a risk to the Service or to other users. We have no obligation to monitor User Content.
7. Copyright — DMCA Notice and Takedown
We respect intellectual-property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA).
7.1 Notice of infringement
If you believe content on the Service infringes your copyright, send a written notice to our designated copyright agent at legal@recimate.app (subject line: “DMCA Notice”) containing:
- Identification of the copyrighted work claimed to have been infringed.

- Your contact information: name, address, telephone number, email.
- A statement that you have a good-faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in your notice is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of the copyright.
- Your physical or electronic signature.
7.2 Designated copyright agent
7.3 Counter-notice
If your content was removed and you believe the removal was a mistake, you may submit a counter-notice to legal@recimate.app with the elements required by 17 U.S.C. § 512(g)(3).
7.4 Repeat infringers
We will, in appropriate circumstances, terminate the accounts of users who are determined to be repeat infringers.
8. Intellectual Property
- The Recimate name, logos, app design, and marketing materials are owned by Senza Agency, LLC. You may not use them without our prior written permission.
- The software underlying the app is licensed to you, not sold, under the End User License Agreement.
- Recipes generated specifically for your account are yours to use, subject to the usage terms of the AI providers that generated them and the Acceptable Use restrictions in §5.
9. AI-Generated Content
The Service uses third-party AI model providers to generate recipes, ingredient lists, instructions, and images, and to check inputs for safety. The current providers are listed in Section 5.1 of the Privacy Policy. AI outputs may be inaccurate, incomplete, or unsafe.
You are solely responsible for verifying every recipe before cooking or consuming it. See the separate AI Content Disclaimer for important safety information regarding allergens, food safety, dietary restrictions, medical conditions, and reliance on AI outputs. The AI Content Disclaimer forms part of these Terms.
10. Third-Party Services
The Service relies on third-party platforms and services (including Apple, Google, Supabase, RevenueCat and AWS; the full current list is in Section 5.1 of the Privacy Policy). Their terms also apply to the relevant portions of your use of the Service.
11. Disclaimers
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT:
- The Service will be uninterrupted, error-free, or secure.
- AI-generated content will be accurate, complete, suitable for your dietary or medical needs, or free from harmful or infringing material.
- Defects will be corrected.
- The Service or the servers that make it available are free of viruses or other harmful components.
You use the Service at your own risk.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- No indirect damages. IN NO EVENT WILL SENZA AGENCY, LLC OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- Liability cap. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (US$100), OR (B) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded by applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Senza Agency, LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your User Content;
- Your use of the Service in violation of these Terms or applicable law; or
- Your violation of any third-party right, including any intellectual-property or privacy right.
14. Termination
- By you. You may stop using the Service at any time and may delete your account through the in-app deletion flow (Profile → Delete Account) or by emailing privacy@recimate.app.
- By us. We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if we discontinue the Service.
- Survival. Sections 6.2 (license), 7 (DMCA), 8 (IP), 11 (disclaimers), 12 (liability), 13 (indemnification), 15 (governing law), 16 (arbitration), and any other provisions that by their nature should survive will survive termination.
15. Governing Law
These Terms and any dispute arising out of or related to these Terms or the Service are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Subject to Section 16, you and we agree that any judicial proceeding will be brought in the state or federal courts located in Delaware, USA, and you and we consent to personal jurisdiction and venue in those courts.
16. Arbitration; Class Action Waiver
16.1 Binding individual arbitration
Except as provided below, you and Senza Agency, LLC agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through final and binding arbitration, conducted by JAMS under its Streamlined Arbitration Rules and Procedures (or its Comprehensive Rules, depending on the amount in controversy). The arbitration will be conducted in Wilmington, Delaware, or, at your election, by videoconference.
16.2 Class action waiver
YOU AND WE AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
16.3 Carve-outs
The following may be brought in court rather than arbitration:
- Small-claims-court actions, if the claim qualifies.
- Actions to enforce intellectual-property rights.
- Requests for injunctive or equitable relief.
16.4 Opt-out
You may opt out of this arbitration agreement by sending written notice to legal@recimate.app within 30 days of first accepting these Terms, stating your name, account email, and a clear statement that you reject the arbitration provision.
16.5 EEA / UK users
If you are a consumer resident in the European Economic Area or the United Kingdom, the arbitration and class-action-waiver provisions in this Section 16 do not apply to you to the extent prohibited by applicable consumer-protection law. You retain the right to bring proceedings in the courts of your country of residence as permitted by law.
17. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will notify you by email or through the app at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you may stop using the Service and delete your account before the effective date.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy, Subscription Terms, AI Content Disclaimer, and EULA, are the entire agreement between you and us regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- No third-party beneficiaries except where expressly stated (e.g., Apple as third-party beneficiary in the EULA).
- Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control.
- Notices. Notices to you may be sent by email to the address associated with your account or posted in-app. Notices to us must be sent to legal@recimate.app and to the postal address below.
